This Agreement reflects the full and complete agreement between the Participant and the Company as to the subject matter herein.In connection with convening payors, patients, providers and policymakers to promote quality, safe, evidence-based care for the millions of people living with pain, Healthcare Collaboratives, LLC (the “Company”) has created “The Pain Collaborative To Advance Equitable Value-Based Solutions”, an unincorporated multi-stakeholder project (the “Collaborative”). This license agreement (“Agreement”) outlines permission for the Company to use Word and Graphic trademarks (altogether the “Trademarks”) respectively provided by each of the Collaborative’s “Participants” (as defined below) to further a specific work plan. This Agreement confirms the understanding that the Company has non-exclusive, non-transferable, royalty-free permission to use and reproduce the Trademark(s) from the undersigned Participant, subject to the terms set forth in this Agreement. The Company and Participants are bound by this Agreement. 1. Scope of Company Usage of Participant Trademarks. The Company’s use and reproduction of named Trademarks will be limited as follows, in keeping with the specimens that Participant provides: A. Web-based/Website – Web-based communications will be used to identify the Participant’s involvement as follows: i. “Participants”. Participants are defined as the companies that agree to be a named collaborator in this work and send in writing to amy@healthcarecollaboratives.com, following a determination that participation advances the intended work. The Collaborative website includes a webpage titled “Participants” that can be found by clicking on “Participants” from the top navigation bar. In the Collaborative’s materials Participants are also sometimes referred to as “Participating Organizations”. ii. “Sponsors”. Sponsors are a subset of the Participants that agree to financial or in-kind support to the Collaborative. Sponsors will be named on the Collaborative’s website “Sponsorship” page and also named in all digital communications from the Pain Collaborative. The URL is https://painmanagementalliance.org/pain-collaborative/sponsorship/. Sponsorship levels and the value of in kind contributions are determined by the Company. B. Digital communications i. E-newsletters. The Collaborative will share updates in regular e-newsletters, which will highlight the link to the Participants Webpage as part of the standard information. ii. Email communication. The Company will share Collaborative updates and information with its Participants via email. These emails may include information regarding Collaborative work product that reference engagement by specified Participants. iii. Press release. Collaborative press releases will include a link to the Participant’s Webpage. Any specific individual mention of a Participant by Company in a release must be approved by the Participant before inclusion in a release. iv. Public awareness social media campaign. The Collaborative will facilitate a time-limited ad hoc communications committee, which will include any Participants, or their designee, who want to participate. This committee will oversee the development of collective messages and the process of the collective awareness campaign. Participants are not required to participate in the social media campaigns. In the campaigns, the Collaborative Website will be referenced which includes links to the Participants and Sponsor pages. Plans and processes for campaigns will be announced and discussed during monthly meetings and shared in email communications with Participants. C. Projects i. The Collaborative Participants will meet monthly which includes discussions and identified project deliverables (“Materials”) to be developed collectively. The process for generating Materials includes input from all Participants and this will be made clear to Participants. The Materials will be linked on the Collaborative website once complete. Through the course of sharing the Materials, the link to the Participants Webpage may be included in communications. 2. Trademark Ownership. The Company acknowledges and agrees that ownership of the Trademarks, permutations, and the goodwill relating thereto, shall remain vested with the undersigned Participant. The Participant will furnish Company with information and guidelines regarding the correct and approved usage of the Participant’s Trademarks. No modifications to the Trademarks will be made by the Company or the Collaborative. Ownership of “Pain Collaborative To Advance Equitable Value-Based Solutions” (Word and Graphic) and all goodwill remains with the Company, with Participants receiving a common license to use, which can be found at https://painmanagementalliance.org/pain-collaborative/. 3. Duration of Authorization. This Agreement confirms the understanding that the undersigned Participant has authorized the Company’s use of Participant’s Trademarks as set forth herein beginning as of the date set forth below. This Participant’s permission will remain in effect through the duration of the Collaborative’s work. The authorization will terminate upon written notice by the Participant that it is (i) discontinuing its engagement with the Collaborative or (ii) otherwise terminating the permissions given pursuant to the Agreement.
